PUBLIC OFFER
for the Grant of a Simple (Non-Exclusive) License for the Use of a Musical Work
Ambox LTD (a company registered in England and Wales), with payment details: IBAN: GB65TCCL00997957298513, BIC: TCCLGB31, operating address: 12 Steward Street, London, UK, E1 6FQ, hereinafter referred to as "the Licensee", hereby offers to any individual or entity that is the author and rights holder of a musical work, hereinafter referred to as "the Licensor", to conclude this agreement on the terms set forth below (hereinafter - "the Agreement").

the Licensor fully accepts all terms of this Public Offer, which constitutes a legally binding agreement under English law.

1. Definitions

    • "Work" – the musical composition (audio track) submitted by the Licensor via the official form on the website http://www.ambox.me.
    • "Ambox Library" – a digital collection of Works distributed by the Licensee to users of "Ambox" devices for their non-commercial use.
    • "Compilation (Album)" – a thematic collection of Works curated by the Licensee, which may be distributed on physical or digital media alongside the "Ambox" device or through other channels.

2. Subject of the Agreement

  • 2.1. The Licensor grants the Licensee a worldwide, simple (non-exclusive) license to use the submitted Work in the manner specified in Clause 3 of this Agreement.
  • 2.2. The license is granted for a period of 5 (five) years from the date of acceptance of this offer. Upon expiration, the license will automatically renew for successive one-year periods unless either party notifies the other in writing of its intention not to renew at least 30 (thirty) days prior to the end of the current term.
  • 2.3. Key Condition: The Licensee is under no obligation to actually use the Work. The decision to include the Work in the Ambox Library or any Compilation rests solely at the discretion of the Licensee.

3. Scope of Licensed Use

  • The Licensee is entitled to use the Work in the following ways:
  • 3.1. Core Distribution & Reproduction:
    • Reproduce the Work by embedding it into the firmware of the "Ambox" device and including it in the Ambox Library.
    • Distribute the Work by including it in the Ambox Library and/or Curated Compilations, making it available to end-users of "Ambox" devices for their personal, non-commercial enjoyment.
  • 3.2. Promotional & Informational Use (Including Use of Excerpts):
    • Use the Work (in whole or in part, as excerpts) in any promotional, presentation, informational, and demonstrative materials related to the "Ambox" device, the Licensee's activities, and the promotion of the Library or Compilations. This includes, but is not limited to:
    • Video content for social media (YouTube, Instagram, TikTok, etc.);
    • Live streams and broadcasts;
    • Content on the Licensee's official website (ambox.me);
    • Press kits, exhibition materials, and presentation at events;
    • Any other audio-visual and media materials.
  • 3.3. Technical Adaptation & Derivative Works:
    • Create derivative works based on the submitted Work strictly for the following purposes:
    • Adaptation: Editing (e.g., creating fades, trimming, normalization) for technical compatibility with the "Ambox" device or to fit the format of a specific Compilation.
    • Remixing: Creating remixes or other derivative versions only upon obtaining separate, prior written consent from the Licensor, if such remixing goes beyond simple technical adaptation.
    • Key Requirement: In all cases of adaptation or creation of derivative works, the original Work must remain recognizable, and the authorship of the Licensor must be clearly credited.
  • 3.4. Public Performance:
    • Publicly perform the Work at any events related to the "Ambox" device (exhibitions, fairs, presentations, workshops).

4. License Fee & Consideration

  • 4.1. The license is granted by the Licensor on a royalty-free basis.
  • 4.2. As the primary consideration, the Licensee agrees to provide clear and visible attribution to the Licensor (using the provided name or pseudonym) in all public uses of the Work as described in Clause 3.
  • 4.3. Where context allows (e.g., in video descriptions, album liner notes, dedicated web pages), the Licensee will provide a link to the Licensor's chosen social media profile or music platform.

5. Licensor's Warranties & Indemnification

  • The Licensor represents and warrants that:
  • 5.1. They are the sole author and rights holder of the Work and have full legal capacity and authority to enter into this Agreement and grant the rights herein.
  • 5.2. The Work is original and does not infringe upon any copyright, trademark, privacy, publicity, or other rights of any third party.
  • 5.3. No exclusive rights to the Work have been granted to any third party that would conflict with the rights granted under this Agreement.
  • 5.4. The Licensor agrees to indemnify and hold harmless the Licensee from any claims, damages, or expenses arising from a breach of the above warranties.

6. Acceptance & Effective Date

  • 6.1. This Agreement is a public offer. Acceptance is effected by the Licensor's conclusive actions: filling out and submitting the electronic submission form on http://www.ambox.me, which includes the Licensor's data and a link to the Work, and checking the box confirming agreement with these terms.
  • 6.2. The Agreement is considered concluded and legally binding from the moment of acceptance (form submission). The date of acceptance is the submission date.

7. General Provisions

  • 7.1. The Licensee reserves the right to cease using the Work in its future distributions at any time at its sole discretion.
  • 7.2. The Licensor may revoke the license granted herein by providing written notice to the Licensee at handle@ambox.me. The revocation will take effect 90 (ninety) days after receipt of notice. This revocation will not affect Compilations already produced and distributed on physical media.
  • 7.3. This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
  • 7.4. Any disputes shall first be attempted to be resolved through negotiations. A mandatory pre-trial claim procedure applies.
